Dark Yarn’s Affiliate Commission Program Terms & Conditions

These Terms & Conditions (“Terms”) govern the Affiliate Commission Program (“Program”) offered by Dark Yarn, LLC (“Dark Yarn,” “we,” “us,” or “our”). By applying to or participating in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not participate in the Program.

1. Definitions

1.1 “Affiliate”
Any individual or entity that has applied and been accepted into the Dark Yarn Affiliate Commission Program.

1.2 “Affiliate Link”
A unique hyperlink or code provided to the Affiliate for tracking customer referrals to the Dark Yarn website.

1.3 “Commission”
The amount payable to the Affiliate based on Qualifying Purchases, as set forth by Dark Yarn.

1.4 “Qualifying Purchase”
A sale made on the Dark Yarn website that can be tracked to an Affiliate Link, satisfying all criteria outlined in these Terms.

1.5 “Program Website”
The online platform or portal where Affiliates can access their unique Affiliate Link, track referrals, and review earned Commissions.

2. Enrollment & Eligibility

2.1 Application

To join the Program, you must complete and submit the online application form. We reserve the right to accept or reject any application at our sole discretion.

2.2 Eligibility Criteria

• You must be at least 18 years of age.

• You must have a valid and active website, blog, social media presence, or other marketing channel that complies with the content guidelines set forth in these Terms. Dark Yarn reserves the right to refuse service or affiliate status to any applicant for any lawful reason at any time.

2.3 Acceptance

If your application is approved, you will receive an acceptance email containing information on how to access your Affiliate Link and begin promoting Dark Yarn products.

3. Affiliate Obligations

3.1 Promotion

As an Affiliate, you agree to actively promote Dark Yarn products through legal and ethical marketing methods. This includes displaying Affiliate Links, banners, or other promotional materials provided by Dark Yarn.

3.2 Compliance with Laws

You must comply with all applicable laws, regulations, and guidelines in your promotional activities, including but not limited to:

• Federal Trade Commission (FTC) guidelines for endorsements and testimonials.

• Data privacy regulations applicable to your region.

• Intellectual property laws.

3.3 Prohibited Activities

• Misrepresentation: You must not make false or misleading claims about Dark Yarn products or the Program.

• Unsolicited Messages: You must not engage in spam or unsolicited commercial emails.

• Trademark Violations: You must not use Dark Yarn’s name, logos, or trademarks in a way that infringes on our rights or confuses customers.

• Inappropriate Content: You must not promote or link to any content that is obscene, defamatory, libelous, threatening, harassing, or otherwise unlawful.

3.4 Account Security

You are responsible for maintaining the confidentiality of any login information related to the Program. You will be held liable for any actions taken under your account, whether authorized or not.

4. Commissions

4.1 Commission Rate

The standard Commission rate for Qualifying Purchases is detailed on the Program Website. Dark Yarn reserves the right to modify Commission rates at any time. Any changes to Commission rates will be communicated to the Affiliate in advance.

4.2 Qualifying Purchases

A sale is considered a Qualifying Purchase if:

• The customer follows your unique Affiliate Link to the Dark Yarn website.

• The customer makes a purchase within the tracking window specified on the Program Website.

• The purchase is not refunded, canceled, or charged back.

4.3 Payment Schedule

Commission payments are processed after the period’s validated Qualifying Purchases is reached. Payments are made through Dark Yarn's payment provider. You may choose whatever commission payment method works for your.

4.4 Refunds & Chargebacks

If a customer cancels, requests a refund, or issues a chargeback for a Qualifying Purchase, the Commission for that purchase will be deducted from your balance. If you have already been paid for such a purchase, we may invoice or charge you for the corresponding amount.

5. Intellectual Property

5.1 License Grant

Dark Yarn grants you a non-exclusive, non-transferable, revocable license to use our trademarks, logos, and marketing materials solely for the purpose of promoting Dark Yarn under the Program. Dark Yarn reserves the right to use all content from affiliate for use in future ads and promotions for up to 365 days from date of content post.

5.2 Restrictions

• You must not modify or alter any trademarks, logos, or marketing materials provided by Dark Yarn without prior written consent.

• All rights not expressly granted in these Terms are reserved by Dark Yarn.

6. Term & Termination

6.1 Term

These Terms shall commence upon your acceptance into the Program and continue until terminated by either party.

6.2 Termination by Affiliate

You may terminate your participation in the Program at any time by providing written notice to Dark Yarn.

6.3 Termination by Dark Yarn

We may suspend or terminate your participation in the Program at any time, with or without cause, including for any violation of these Terms or if your promotional activities are deemed harmful to our business or reputation.

6.4 Effect of Termination

Upon termination: You must immediately cease all promotional activities related to Dark Yarn and remove any references to the Program from your channels. Any outstanding Commissions due to you at the time of termination will be paid in accordance with the standard payment schedule, provided that you have complied with these Terms.

7. Disclaimer & Limitation of Liability

7.1 Disclaimer

Dark Yarn does not make any express or implied warranties or representations regarding the Program, the products sold by Dark Yarn, or any other subject matter covered by these Terms. We do not guarantee that the Program or the Affiliate Links will operate uninterrupted or error-free.

7.2 Limitation of Liability

To the maximum extent permitted by law, Dark Yarn will not be liable for any indirect, special, or consequential damages, or for any loss of revenue, profits, or data, arising in connection with the Program, even if we have been advised of the possibility of such damages.

8. Indemnification

You agree to indemnify, defend, and hold harmless Dark Yarn, its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, or expenses (including reasonable attorneys’ fees) arising out of or related to any breach of these Terms or any improper use of the Program.

9. Confidentiality

Any confidential information, including but not limited to business, technical, financial, or customer information, that you receive from us in the course of your participation in the Program must be kept confidential and used solely for your performance under these Terms. You must not disclose this information to any third party without our express written consent.

10. Modification

We reserve the right to update or modify these Terms at any time. Any changes will be posted on the Program Website or communicated via email. Your continued participation in the Program after any such updates shall constitute your acceptance of the modified Terms.

11. Governing Law & Dispute Resolution

These Terms will be governed by and construed in accordance with the laws of Georgia USA. Any dispute, claim, or controversy arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Georgia, USA, and you hereby consent to the personal jurisdiction of those courts.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

13. No Waiver

No waiver of any breach of these Terms will be deemed a waiver of any subsequent breach. Our failure to insist on strict performance of any term or condition does not prevent us from enforcing such term or condition at a later time.

14. Entire Agreement

These Terms constitute the entire agreement between you and Dark Yarn regarding the Program and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
